Recipient shall take all reasonable measures to protect its own confidential and proprietary information, to protect the confidentiality and avoid the unauthorized use, disclosure, publication, or dissemination of Proprietary Information. No copies of Proprietary Information may be made unless approved in writing by Discloser.

(a) Return of Proprietary Information. Upon conclusion or termination of any engagement agreement, or at any time at Discloser's request, (a) Recipient shall return immediately to Discloser all materials (in written, electronic or other form) containing or constituting Proprietary Information, including any copies, and (b) Recipient shall not use Proprietary Information in any way for any purpose.

In addition, Cerius’s failure to enforce any Term shall not be deemed as a waiver of such term or otherwise affect Cerius’s ability to enforce such term at any point in the future.
